Terms of use

Effective date: May 1, 2025

These Terms constitute a binding contract between you and Neptune Life, Inc. (“Neptune,” “we” and “us”).

Your use of the Services in any way means that you agree to all of these Terms.

Arbitration notice: You waive rights to class action lawsuits; disputes resolve through individual arbitration instead of court proceedings.

Will these terms change?

Neptune reserves modification rights but will notify users via website notice, email, or other means. Continued service use after changes indicates acceptance. Only written amendments signed by both parties override these Terms otherwise.

Privacy

Neptune references its separate Privacy Policy regarding user data. The company does not knowingly collect information from children under 13 per COPPA regulations.

Basic usage requirements

Users must:

  • Provide accurate, complete registration information
  • Not impersonate others or use unauthorized account names
  • Not transfer accounts without written permission
  • Be of legal age (or have parental consent)
  • Use services only for personal purposes
  • Comply with all applicable laws
  • Protect account credentials
  • Not share usernames or passwords

Attorney-user connections

Neptune connects individuals seeking a prenuptial agreement (such individuals, “Users”) with attorneys providing legal services (“Attorneys”).

Key points:

  • Contact from attorneys does not create automatic attorney-client relationships
  • No attorney-client relationship exists between Neptune and users
  • Users must execute formal written agreements separately with law firms
  • Users cannot enter outside agreements regarding attorney services through Neptune

Prohibited activities

Users cannot:

  1. Infringe intellectual property or other rights
  2. Violate laws or regulations
  3. Engage in fraudulent, deceptive, or harassing conduct
  4. Compromise account security
  5. Attempt password theft
  6. Violate computer network security
  7. Deploy spam or auto-responders
  8. Scrape, crawl, or spider content
  9. Copy significant content portions
  10. Reverse engineer or decompile services

Attorney-specific terms

Attorneys must:

  • Comply with separate Attorney-Neptune Agreements
  • Collect only necessary user information
  • Use information solely for applicable client services
  • Maintain compliance with applicable laws and retention requirements
  • Follow Neptune’s Code of Conduct
  • Avoid collecting data beyond service requirements

User submissions and licenses

Users grant Neptune a worldwide, non-exclusive, perpetual, royalty-free, fully paid, sublicensable and transferable license to use, edit, modify, truncate, aggregate, reproduce, distribute, prepare derivative works of, display, perform, and otherwise fully exploit the User Submissions.

User submissions cannot include:

  • Copyrighted material without authorization
  • Sexually explicit content
  • Hateful or defamatory material
  • Content exploiting minors
  • Depictions of unlawful acts or extreme violence
  • Animal cruelty content
  • Fraudulent schemes or dubious money-making ventures
  • Content violating law

Copyright infringement

Neptune follows DMCA procedures. Copyright holders must submit detailed infringement notices to the Designated Agent (contact info below). The company may remove infringing material and terminate repeat offenders’ access.

Counter-notices can dispute removal claims within specified procedures.

Content responsibility

Any information or Content publicly posted or privately transmitted through the Services is the sole responsibility of the person from whom such Content originated.

Neptune disclaims responsibility for:

  • User-generated content interpretation
  • Third-party website content
  • Attorney Services quality or provision
  • Information accuracy in third-party links

NO ATTORNEY/CLIENT RELATIONSHIP IS CREATED BETWEEN YOU AND NEPTUNE WHEN YOU USE THE SERVICES OR CONTENT.

Service modifications

Neptune reserves rights to suspend, discontinue, or modify any service features or restrict access. Material adverse changes warrant notice when practical.

Payment terms

Paid Services: Certain services require payment per Neptune’s pricing page.

Payment processing: Stripe handles billing. Users must provide current, complete, accurate billing information and promptly update changes. Payment terms follow Stripe’s policies.

Authorization: Users authorize charges through selected payment methods. Neptune may accumulate charges across billing cycles.

Attorney payments: Payments to attorneys follow applicable ethics rules and engagement agreements. Neptune may facilitate but doesn’t retain attorney payments.

Service termination

  • Users can terminate anytime via hello@meetneptune.com
  • Neptune can terminate for any reason, including Terms violations
  • Account termination may destroy associated content
  • Attorneys may retain data per legal/regulatory requirements
  • Certain provisions survive termination (payment obligations, liability limitations, intellectual property rights, dispute resolution)

Referral programs

Neptune offers rewards for successful referrals. Terms include:

  • Referees must be first-time, non-current customers
  • No cumulative reward limits unless specified
  • Rewards issued upon required action completion
  • Neptune reserves modification/termination rights
  • Neptune may revoke rewards for unfair advantage attempts

Disclaimers and limitations

Warranty disclaimer: THE SERVICES AND CONTENT ARE PROVIDED BY NEPTUNE (AND ITS LICENSORS AND SUPPLIERS) ON AN “AS-IS” BASIS, WITHOUT WARRANTIES OF ANY KIND.

Liability limitation: Neptune’s liability caps at the greater of $100 or amounts paid in the preceding 12 months for service-related claims.

Indemnity: Users indemnify Neptune against claims arising from service use violations or Terms breaches.

Governing law and dispute resolution

Jurisdiction: Federal Arbitration Act, federal law, and New York State law govern these Terms.

Arbitration requirement

  • Parties must attempt good-faith negotiation first
  • Disputes proceed to binding arbitration in New York County
  • JAMS Streamlined Arbitration Rules apply
  • Single commercial arbitrator with relevant experience decides
  • English language proceedings

Arbitration costs: Neptune pays fees for claims under $75,000; Neptune won’t seek attorney fees unless claims prove frivolous.

Small claims exception: Either party may use small claims court in New York County or relevant county.

Intellectual property exception: Either party may pursue injunctive relief in any competent court for IP infringement threats.

Jury trial waiver: YOU AND NEPTUNE WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY.

Class action waiver: ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS.

Opt-out rights: Users may opt out within 30 days by sending written notice to 169 Madison Ave #15003, New York, NY 10016 including name, address, email/phone, and opt-out statement.

Venue: Litigation (if permitted) occurs in New York County or applicable federal district courts.

Miscellaneous provisions

  • Users bear responsibility for all associated taxes and governmental assessments
  • Non-exercise of rights doesn’t waive future enforcement
  • Unenforceable provisions receive minimal modification to preserve remaining Terms
  • These Terms represent complete mutual understanding, superseding prior agreements
  • Users are not Neptune employees, agents, partners, or joint venture members
  • No third-party beneficiaries except arbitration agreement Personnel
